1. Agreement to these Terms

These Terms & Conditions (the “Terms”) form a binding agreement between you and [Legal entity name, e.g. Palm IPTV Ltd.] (“Palm IPTV”, “we”, “us”, or “our”) governing your access to and use of the Palm IPTV application and related websites and services (together, the “Service”).

By downloading, installing, accessing, or using the Service — or by creating an Account — you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, you must not use the Service.

If you use the Service on behalf of an organisation, you represent that you have authority to bind that organisation, and “you” refers to both you and that organisation.

2. Definitions

  • Service — the Palm IPTV applications, the web app at [app.palmiptv.com], the marketing site at [www.palmiptv.com], and any related features, updates, and support we provide.
  • App — the Palm IPTV media-player software for Android, iOS, Windows, macOS, Linux, and the web.
  • Account — an optional registered profile (email and password, with email verification) used for cloud sync and paid features.
  • Provider — a third-party IPTV service that you separately subscribe to and connect to the App via the Xtream Codes API (server host, username, and password) or an M3U/M3U8 playlist URL.
  • Content — any channels, streams, films, series, audio, images, metadata, or other media made available by a Provider. Palm IPTV does not own, host, supply, resell, or control any Content.
  • Subscription — a paid Premium plan to the Service, as described in Section 8.
  • Store — an app distribution platform or payment processor through which the Service or a Subscription is offered, including the Apple App Store, Google Play, RevenueCat, Stripe, and/or Paddle.

3. Eligibility & age

You must be at least [18] years old, or the age of majority in your jurisdiction if higher, to use the Service or create an Account. By using the Service you represent that you meet this requirement and that you are legally able to enter into these Terms.

Providers may make available adult, mature, or otherwise age-restricted Content. Palm IPTV does not produce, curate, or rate any Content. You are solely responsible for ensuring that your use of any Content is lawful and age-appropriate, and for any parental or access controls you choose to apply.

4. What Palm IPTV is — a player, not a content provider

Palm IPTV is a media player. It is not an IPTV provider, broadcaster, content host, or reseller.

  • Palm IPTV provides, hosts, supplies, resells, bundles, and includes no channels, streams, films, series, or media of any kind.
  • Palm IPTV is not affiliated with, endorsed by, or sponsored by any IPTV provider, broadcaster, or rights holder.
  • The App is a neutral tool that lets you connect to your own Provider account and play the Content that your Provider delivers.
  • Content streams directly from your Provider to your device. It does not pass through, and is not stored, cached as media, intercepted, or relayed by, Palm IPTV’s servers.

Palm IPTV does not select, verify, monitor, control, or guarantee any Provider or any Content. We have no visibility into, and accept no responsibility for, what a Provider offers or whether it is available, lawful, or accurate.

5. Content, third-party providers & your responsibilities

You are solely responsible for the Providers you connect and the Content you access through the App. This is a fundamental condition of using the Service.

By using the Service you agree that:

  • You will use the App only with legitimate, properly licensed IPTV services that you are legally entitled to access, and only in accordance with your agreement with that Provider and all applicable laws.
  • You are responsible for obtaining, maintaining, and paying for your own Provider subscription. Palm IPTV is separate from, and charges nothing for, any Provider or its Content.
  • You will not use the App to access, stream, store, or distribute pirated, unauthorised, unlicensed, or otherwise infringing Content, or any Content you are not lawfully permitted to view.
  • You will comply with all applicable copyright, broadcasting, telecommunications, export, and other laws in your jurisdiction.

Palm IPTV does not endorse, recommend, verify, or control any Provider or Content, and makes no representation that any Provider, stream, or Content is licensed, lawful, or available. Any dispute regarding a Provider or its Content is solely between you and that Provider. Your use of unlawful or infringing services is a material breach of these Terms and may result in immediate suspension or termination under Section 15.

6. Acceptable use & prohibited conduct

You agree not to, and not to permit anyone else to:

  • Use the Service to access, distribute, or facilitate access to infringing, pirated, or otherwise unlawful Content (see Section 5);
  • Use the Service in violation of any law, regulation, third-party right, or your agreement with a Provider;
  • Copy, modify, decompile, reverse-engineer, disassemble, or attempt to derive the source code of the App, except to the extent this restriction is prohibited by applicable law;
  • Resell, sublicense, rent, lease, or commercially exploit the App, or use it to operate a service for third parties;
  • Circumvent, disable, or interfere with any security, authentication, billing, licensing, or usage-limit feature of the Service;
  • Access the Service through automated means (bots, scrapers) in a way that disrupts or overloads it, or attempt to gain unauthorised access to any account, system, or network;
  • Upload or transmit malware, or use the Service to infringe the intellectual-property, privacy, or other rights of any person.

7. Accounts & security

An Account is optional but required for cloud sync and paid features. To register you provide an email address and password and verify your email. You agree to provide accurate, current, and complete information and to keep it up to date.

You are responsible for safeguarding your credentials and for all activity that occurs under your Account, whether or not authorised by you. Notify us promptly at legal@palmiptv.com if you suspect any unauthorised use or security breach. We are not liable for losses arising from your failure to keep your credentials secure.

The credentials you enter for a Provider (host, username, password, or playlist URL) are your Provider credentials, not a Palm IPTV account, and are handled as described in our Privacy Policy.

8. Subscriptions, trials, billing & refunds

8.1 Plans & pricing

The Service is offered in two tiers. Free includes one Provider, local favorites, and no cloud sync. Premium includes unlimited Providers, cloud sync across devices, and cross-provider favorite matching.

Prices are in US dollars unless your Store displays a local currency, are exclusive of any applicable taxes (which may be added at checkout), and may change as described in Section 16. Store-displayed pricing controls at the point of purchase.

8.2 Free Premium trial (reverse trial)

When you create an Account you are automatically granted a 7-day free Premium trial. No payment card is required where the platform allows. If you do not upgrade to a paid Subscription before the trial ends, your Account automatically converts to the Free tier. Your data is retained — content that previously synced simply stops syncing until you upgrade.

8.3 Auto-renewal & cancellation

Where purchased through a Store, the Monthly and Annual Subscriptions automatically renew at the then-current price at the end of each billing period unless cancelled, and your payment method is charged for each renewal. The Lifetime plan is a single one-time payment and does not renew.

You can cancel at any time. For purchases made through the Apple App Store or Google Play, manage or cancel your Subscription in your Store account settings. For direct purchases through Stripe or Paddle, manage or cancel through the billing portal at [billing portal URL]. Cancellation takes effect at the end of the current paid period; you retain Premium access until then, and no further charges are made.

8.4 Payment processors

Purchases are processed by RevenueCat (app-store in-app purchases on iOS, macOS, and Android) and by Stripe and/or Paddle (Web, Windows, and Linux). Palm IPTV does not collect or store your full payment-card numbers; these are handled by the relevant processor under its own terms.

8.5 Refunds

Purchases made through the Apple App Store or Google Play are subject to that Store’s refund policy, and refund requests for those purchases must be made to the relevant Store. Direct purchases (Stripe/Paddle) are subject to [refund policy — define].

EU/UK right of withdrawal. If you are a consumer in the European Union or United Kingdom, you may have a statutory right to withdraw from a purchase of digital content within [14] days. However, because the Service is digital content supplied immediately, you expressly request and consent that we begin supplying it right away and acknowledge that, once supply has begun, you lose your right of withdrawal to the extent permitted by [applicable consumer law]. Withdrawal requests should be sent to legal@palmiptv.com.

9. Intellectual property

The App, the Service, the “Palm IPTV” name and logo, and all related software, designs, text, and graphics are owned by Palm IPTV or its licensors and are protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use the App for your personal, non-commercial purposes, on devices you own or control. This licence is also subject to the applicable Store’s end-user licence agreement, including Apple’s standard Licensed Application EULA where the App is obtained through the Apple App Store.

We reserve all rights not expressly granted. All Content remains the property of its respective Providers and rights holders; nothing in these Terms transfers any rights in Content to you or to Palm IPTV.

10. Copyright & notice-and-takedown

Palm IPTV respects intellectual-property rights. As stated throughout these Terms, the App is a player and hosts no Content: streams flow directly from a user’s own Provider to that user’s device and do not reside on our systems, so there is generally no Palm IPTV-hosted material to remove.

Nonetheless, if you are a rights holder (or their agent) and believe the Service is being used to infringe your rights, you may send a notice to our designated contact at legal@palmiptv.com (subject line “Copyright Notice”). Please include: (a) identification of the work claimed to be infringed; (b) a description of the alleged infringing activity; (c) your contact details; (d) a statement of good-faith belief that the use is unauthorised; (e) a statement, under penalty of perjury, that the information is accurate and that you are authorised to act; and (f) your physical or electronic signature.

We will review valid notices and respond appropriately, which may include terminating the Accounts of users who use the Service for infringing activity, in accordance with Section 15 and applicable law (including the U.S. DMCA, 17 U.S.C. § 512, and equivalent laws). Our designated agent and any formal counter-notice procedure are set out at [designated agent / takedown procedure details].

11. Third-party services & app stores

The Service interoperates with third parties that have their own terms and privacy practices, for which we are not responsible:

  • Your Provider — your relationship with any IPTV Provider is governed solely by your agreement with that Provider.
  • App stores — your download and use of the App may be subject to the Apple App Store, Google Play, or other Store terms. Where there is a conflict between these Terms and a mandatory Store rule, the Store rule controls for that distribution.
  • Payment processors — RevenueCat, Stripe, and Paddle process payments under their own terms.

For App Store distributions: you acknowledge that these Terms are between you and Palm IPTV, not Apple, and that Apple is not responsible for the App or its support; Apple is a third-party beneficiary entitled to enforce these Terms against you.

12. Disclaimers & “as is” service

The Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, to the maximum extent permitted by law.

Without limiting the above, Palm IPTV makes no warranty that: (a) any Provider is legitimate, licensed, available, or lawful; (b) any Content is available, accurate, uninterrupted, or lawful to access; (c) streams will be of any particular quality or will play on your device; or (d) the Service will be uninterrupted, secure, or error-free. You alone bear the risk and responsibility for the Providers you connect and the Content you access. Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.

13. Limitation of liability

To the maximum extent permitted by law, Palm IPTV and its officers, employees, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or content, arising out of or relating to the Service, any Provider, or any Content, even if advised of the possibility of such damages.

To the maximum extent permitted by law, our total aggregate liability for all claims relating to the Service will not exceed the greater of (a) the amount you paid us for the Service in the [12] months before the event giving rise to the claim, or (b) [USD 50].

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, or for fraud. Your statutory consumer rights are not affected.

14. Indemnification

You agree to indemnify, defend, and hold harmless Palm IPTV and its officers, employees, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) the Providers you connect or the Content you access, including any infringing or unlawful use; (c) your breach of these Terms or of any law or third-party right; or (d) your Account activity.

15. Suspension & termination

You may stop using the Service at any time and may delete your Account. We may suspend or terminate your access to the Service or any Account, with or without notice, if we reasonably believe you have breached these Terms — including any use of the Service to access pirated, unauthorised, or otherwise unlawful Content — or if required by law, a Store, or a rights holder, or to protect the Service or other users.

On termination, the licence granted to you ends and you must stop using the App. Sections that by their nature should survive (including Sections 5, 9–14, and 17–18) will survive. Termination does not entitle you to a refund except as required by law or an applicable Store policy.

16. Changes to the Service and these Terms

We may modify, suspend, or discontinue any part of the Service, including features, plans, and pricing, at any time. We may also update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by in-app notice or email to your Account address) and update the “Last updated” date above. Changes to recurring Subscription pricing will not apply to your current paid period and will take effect on your next renewal, where consent is required by the applicable Store or law. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

17. Governing law & dispute resolution

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of [governing law jurisdiction], without regard to its conflict-of-laws rules. Subject to any mandatory consumer-protection rules that apply where you live, you and Palm IPTV agree that the courts of [dispute venue / exclusive jurisdiction] will have jurisdiction over any dispute.

18. Miscellaneous

  • Severability. If any provision is held invalid or unenforceable, the rest remains in effect and the invalid provision is modified to the minimum extent necessary.
  • Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Palm IPTV regarding the Service and supersede prior agreements on that subject.
  • Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
  • No waiver. Our failure to enforce a provision is not a waiver of it.
  • Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control.
  • Notices. We may give notice by in-app message or by email to your Account address. You may contact us as set out below.
